Joint Operation Agreement
Whereas:
1. The --ABC-- Project
Management Unit (hereinafter referred to as “the Employer”) invites sealed bids
from eligible bidders for the construction of --Package under Project--
2. We, the undersigned,
legally authorized by means of the attached Powers of Attorney to act in the
name and on behalf of our respective firms named below, hereby declare that we
have formed the joint operation composed of the following partners for the
execution of the construction works of the --Package under Project--

We hereby jointly agree and
declare:

a-

that our Joint Operation have

Lead Partner of our Joint Operation to sign on all documents including bid
and contract agreement;

that the firm --ABC-- is the leader representative for
Joint Operation in taking responsible for the completion of the Contract, in
case of award, and for all damages and consequences to Employer in case of
any complaint from a third party occur during the completion of the Contract;

c-
|
that all Partners of our Joint
Operation shall be liable jointly and severally for the execution of the
Contract;
| ||||||||
|
d-
|
that if the Employer accepts the
Bid of our Joint Operation, it shall not be modified in its composition or
constitution without the prior consent of the Employer in written form and
Partners’ agreement in written form, until the completion of the Contract;
Regardless of respective scopes of Partners’ works as mentioned above, when
necessary Employer will have right to supervise the completion of the
Contract, including right to access all documents relating to the Contract
completion such as Financial Statement, purchase bills, lists of equipment,
machines, and personnel, subcontracting agreement, letters, facsimiles, etc.

Acceptance from Employer is received.

if the Contract is not awarded to
Joint Operation.
